Welcome to UpperSearch

These Terms of Service govern your access to uppersearch.io and your licensing and use of the UpperSearch Windows desktop application. By purchasing, downloading, installing, or running UpperSearch, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing the website at uppersearch.io, purchasing a software license, or downloading and running the UpperSearch software, you enter into a binding agreement with UpperSearch ("we," "our," or "us") based on these Terms of Service.

If you are entering into these terms on behalf of a company, agency, or other legal entity, you represent and warrant that you possess the legal authority to bind that entity to these terms. If you do not agree to these terms, you must not purchase, install, or use UpperSearch.

2. Eligibility & Lawful Use

UpperSearch is designed for search marketing professionals, content publishers, competitive analysts, and website owners who conduct legitimate SEO research and analysis.

You agree to use UpperSearch and related services strictly in compliance with all applicable local, national, and international laws, regulations, and third-party terms of service. You must not use UpperSearch for unlawful data interception, harassment, denial of service, or any activity that infringes on third-party intellectual property or privacy rights.

3. Intellectual Property Rights

The UpperSearch desktop software, user interface design, logos, trademarks, website assets, documentation, algorithms, and visualization components are the proprietary intellectual property of UpperSearch and its licensors.

Your purchase grants you a limited, revocable, non-exclusive software license. It does not constitute a sale, assignment, or transfer of the underlying software code, source files, trade secrets, or intellectual property rights.

4. Software License & User Responsibilities

Subject to your ongoing compliance with these Terms, UpperSearch grants you a non-exclusive, non-sublicensable software license to install and run the UpperSearch desktop application on compatible 64-bit Windows operating systems (Windows 10 and Windows 11).

  • Device Concurrency: Each license authorizes installation and use on one (1) Windows PC at a time.
  • Machine Transfer: You may move your license to a replacement PC by deactivating the software on your current machine and reactivating it on your new computer.
  • Key Confidentiality: You are responsible for safeguarding your license key. You may not share, disclose, or distribute your license key to unauthorized third parties.

5. Prohibited Activities

To protect the software and our user community, you agree that you will not:

  • Resell, lease, rent, loan, redistribute, or sublicense your license key or software binary without prior written authorization.
  • Decompile, reverse engineer, disassemble, decrypt, or attempt to derive the source code of UpperSearch, except solely to the extent that applicable law expressly prohibits such restriction.
  • Bypass, alter, or circumvent software licensing validation, hardware verification, or anti-tamper mechanisms.
  • Use UpperSearch to conduct denial-of-service attempts or overwhelm third-party API providers with malicious traffic.
  • Remove, alter, or obscure any proprietary copyright, trademark, or legal notices contained within the software.

6. Third-Party Data Providers & Usage Fees

UpperSearch provides a high-performance desktop interface that connects to external data providers for live search engine data:

  • Direct Provider Accounts: Live search intelligence (including SERP results, keyword volumes, backlink indexes, and domain metrics) requires an active account with supported providers (primarily DataForSEO, and optionally Host.io for Reverse AdSense queries).
  • Separate Billing: Data provider usage fees are billed directly to your account by those respective providers under their published pricing structures. UpperSearch does not bundle third-party data charges, markup API requests, or act as an intermediary for third-party billing.
  • Provider Availability: UpperSearch is not responsible for the accuracy, uptime, response latency, or service interruptions of third-party data providers or search engine result pages.

7. Early Access Lifetime License Terms

The Early Access Lifetime License is a one-time software license to use the purchased UpperSearch Windows desktop software without a recurring UpperSearch software subscription fee for that license.

The license includes updates that UpperSearch chooses to make generally available for the licensed UpperSearch desktop product at no additional recurring UpperSearch subscription fee.

It does not guarantee any particular update schedule, support duration, future feature, separate product, cloud service, or separately sold add-on.

8. Warranty Disclaimer

To the extent permitted by applicable law, UpperSearch is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the software will be completely uninterrupted, secure, or error-free, nor do we make any guarantees regarding search engine rankings, organic traffic gains, business revenue, or third-party algorithm updates resulting from research conducted with UpperSearch.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall UpperSearch, its developers, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, loss of data, business interruption, or replacement software costs) arising out of or in connection with your access to, use of, or inability to use the software.

To the maximum extent permitted by applicable law, our total cumulative liability arising out of or related to these Terms or the software shall be strictly limited to the actual amount paid by you for your UpperSearch software license.

10. Termination, Modifications & Contact

Except where applicable law provides otherwise, we may terminate or revoke your license if you materially breach these Terms (including unauthorized redistribution of license keys, reverse engineering in violation of law, or fraudulent payment activity). Upon termination, your right to use the software ceases immediately.

We reserve the right to modify these Terms periodically. Revisions will be indicated by an updated "Last Updated" date on this page. Your continued use of UpperSearch following the posting of revised terms constitutes your acceptance of the changes.
